1. Scope and Acceptance

These Terms of Service ("Terms") govern your access to and use of the VenueVista platform operated by VenueVista B.V., Jungfernstieg 44, 20354 Hamburg, Germany. By accessing or using VenueVista, you agree to be bound by these Terms. If you do not agree, you may not use the platform.

2. Description of Service

VenueVista is a hospitality operations management platform that provides workforce scheduling, shift management, training modules, gamification features, document management, and internal communication tools. The platform is provided as a Software-as-a-Service (SaaS) solution accessible via web browser.

3. User Accounts

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

• Use the platform for any unlawful purpose or in violation of applicable laws
• Attempt to gain unauthorized access to other user accounts or system resources
• Upload malicious code, viruses, or other harmful software
• Interfere with the proper functioning of the platform
• Scrape, mine, or extract data from the platform without authorization
• Share confidential business data with unauthorized third parties

5. Intellectual Property

All content, features, and functionality of VenueVista — including but not limited to software, design, text, graphics, logos, and trademarks — are owned by VenueVista B.V. and are protected by international copyright, trademark, and intellectual property laws. You may not copy, modify, distribute, or create derivative works without prior written consent.

6. User-Generated Content

By posting content on the platform (e.g., feed posts, comments, profile information), you grant VenueVista a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content within the platform. You retain ownership of your content and may delete it at any time.

7. Availability and Warranty Disclaimer

VenueVista is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee uninterrupted, error-free, or secure access to the platform. Scheduled maintenance windows will be communicated in advance where possible.

8. Limitation of Liability

To the maximum extent permitted by German law, VenueVista B.V. shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform. Our total liability for any claim shall not exceed the amount paid by you (or your employer) for the service in the 12 months preceding the claim.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. The courts of Hamburg, Germany shall have exclusive jurisdiction over any disputes arising from these Terms.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via the platform or email at least 30 days before taking effect. Continued use of the platform after changes constitutes acceptance of the updated Terms.
